Brand Ambassador Agreement

Critta Fitta, a registered trademark of Critta Fitta, Inc, actively supports the advertising and promotion of its products through selected and respected members of the pet community. This agreement outlines the terms and conditions of your relationship with Critta Fitta as a United States-based Brand Ambassador.

By applying to become a Brand Ambassador for Critta Fitta, you agree to the following terms:

  1. Endorsed Products: Endorsed products are those sold under the Critta Fitta brand name.

  2. Ambassador Requirements: As a Brand Ambassador, you must:

  • Have an active, public Instagram or TikTok account for your dog with at least 250 followers and post at least once per week.
  • Follow us on Instagram @crittafitta.
  • Be at least 18 years old.
  • Be based in the U.S.

Ambassadors are prohibited from sharing discount codes on coupon sites. Any ambassador whose code is found on a coupon site will be terminated from the program, and all store credit will be rescinded.

Ambassadors must comply with all federal, state, and local regulations, including applicable marketing email laws (e.g., CAN-SPAM Act) and other anti-spam laws. Ambassadors are expected to drive at least one sale per 90-day period resulting in a commission. Ambassadors who do not meet this requirement will be considered inactive, and their ambassador account and unique discount code will be deactivated. Failure to follow the requirements may result in termination, suspension, or rescinding of all commissions.

  1. Contract Territory: As a U.S.-based Brand Ambassador, your territory is limited to the United States and all U.S. territories.

  2. Promotion of Endorsed Products: You agree to use your best efforts to promote the Endorsed Products in a manner consistent with their authorized use as outlined on product labels. Approved channels for promotion include your website or blog, emails to friends and family (no spam), and social media platforms such as Facebook, TikTok, Instagram, and YouTube.

  3. Prohibited Content: You agree not to post content on any platform that:

  • Is pornographic, sexually explicit or suggestive, or contains profanity or nudity.
  • Is unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional, or age group.
  • Promotes alcohol, illegal drugs, tobacco, firearms/weapons, or any unsafe or dangerous activities.
  • Is obscene or offensive, endorses any form of hate or hate group, defames, misrepresents, or contains disparaging remarks about other people or entities.
  • Communicates messages or images inconsistent with the positive image Critta Fitta wishes to associate.
  • Violates any law.

  1. Indemnification: You agree to hold Critta Fitta, its officers, agents, assignees, and employees harmless for any liability from any injury or damage arising from the use or promotion of any Endorsed Product.

  2. Relationship: This agreement does not create an employer/employee or employer/contractor relationship.

  3. Confidentiality: Occasionally, we may share confidential information with you, which you are expected to keep in strict confidence. Any disclosure of confidential information will terminate this agreement and may result in legal action.

  4. Intellectual Property: You agree to grant Critta Fitta unlimited and unencumbered use of any work product developed by you in conjunction with this agreement, including but not limited to social media posts, pictures, images, videos, recordings, taglines, hashtags, posts, commentary, and designs. You also grant Critta Fitta and its successors, assigns, licensees, and designees permission to use your name, Social Media Platform account name, photograph, voice, and other likeness in all media worldwide in perpetuity, without additional compensation, consideration, notification, or consent. You are not authorized to use any copyrighted content from other companies to promote Critta Fitta’s brand.

  5. Term and Termination: This agreement is effective from September 1, 2024, for one year. It will automatically renew for successive one-year terms unless either party provides written notice of termination at least 30 days before the end of the term. Either party may terminate this agreement at any time, with or without cause.

  6. Governing Law: This Agreement shall be governed by the laws of the State of California. In case of arbitration failure, you agree to submit to the jurisdiction of any state or federal court in San Francisco County, California, for any action arising out of or related to this agreement.

  7. Commissions: As an Ambassador, you earn a 10% commission on Net Sales (sales excluding discounts, shipping, store credit, refunds, or taxes) you directly drive. Ambassadors are expected to drive at least one sale per 90-day period resulting in a commission. Commissions are paid in cash or store credit, based on the ambassador's preference. Critta Fitta process commissions twice a year, in June and December. (Note: Cash commissions may be subject to US tax laws.)

Commissions cannot be earned on your own orders. Sharing unique codes on discount websites or in paid ads is prohibited. Any Ambassador found committing commission fraud will be removed from the program. We reserve the right to reverse commissions due to returns, order cancellations, and erroneous orders. 

  1. Removal: We reserve the right to remove any Ambassador from our Brand Ambassador Program.

  2. Modification: We may change the terms and conditions of this Agreement in the future. You will receive 30 days' notice of significant changes. If the changes are unacceptable, you may terminate the Agreement. Continuing to receive benefits after the notice period will constitute acceptance of the changes. You may not modify this Agreement by making any changes to it.

  3. Entire Agreement: This agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, negotiations, and discussions, whether written or oral.
